NOTICE OF ACTUAL CONTRACTUAL AUTHORITY
The authority to approve and sign contracts with our vendors and suppliers (as opposed to our customers) on behalf of Saelens Corporation (the “Company”) is limited to our officers and the following senior managers:
Director of Operations
Director of Engineering
Director of Business Services
Notwithstanding, a contract with any of the following provisions may only be signed by an officer of the Company:
- Payments under the contract of ten thousand dollars ($10,000) or more,
- A term of one (1) year or more,
- An automatic renewal provision,
- Automatic or unilateral price increases,
- Non-mutual attorney fee provisions,
- Mandatory arbitration, or
- Jurisdiction/venue outside of Milwaukee or Waukesha County
No employees have actual or apparent authority to execute a contract on behalf of the Company except as provided above. Any purported contract signed by a Company employee without actual authority is voidable at our option and may not be ratified by any action or inaction on our part other than execution of the contract by an authorized signatory.
